    Hi cubanyooper,
    This error describes an invalid access to memory location, and may be a microsoft update engine problem.

    Try this first, go to windows update by clicking here: http://update.microsoft.com/windowsupdate/v6/default.aspx?ln=en-us

    If you see the offer to "get microsoft update today" follow the prompts to reinstall the microsoft update engine, if you receive the same error code continue by reregistering dll's, we'll start with one: go to start/run, type in: regsvr32 MSXML3.dll and click okay then reattempt update.
     
    If this is unsucessful then we can reregister the whole batch for the windows update engine by entering each into the run window as above in the the order listed below, note but ignore any error notices like entry point not found.
     
    net stop wuauserv
    regsvr32 wintrust.dll
    regsvr32 atl.dll
    regsvr32 wuapi.dll
    regsvr32 inetcomm.dll
    regsvr32 wups.dll
    regsvr32 wuaueng.dll
    regsvr32 wuaueng1.dll
    regsvr32 wucltui.dll
    regsvr32 wuweb.dll
    regsvr32 MSXML3.dll
    regsvr32 cryptsvc.dll
    regsvr32 dssenh.dll
    regsvr32 qmgr.dll
    regsvr32 wuapi.dll
    regsvr32 qmgrprxy.dll
    regsvr32 wups2.dll
    regsvr32 jscript.dll
    net start wuauserv
    net start cryptsvc
     
    Restart the computer once all the file are registerd and try performing installing the update
    If the above steps doesnt work then try installing running this update : http://www.microsoft.com/downloads/details.aspx?FamilyID=0435684b-8d12-4028-9cb0-b2903257f1fd
     
    Restart the computer and try to install the update.

    You can also give a try by downloading the new drivers from Nvidia website ( http://www.nvidia.com/Download/index.aspx?lang=en-us )

    Niranjan,

    I tried all options nothing worked.  However did get some errors to come up when I typed in each .dll in run line. Some came up with the  entry point error, but some came up with "Binary is stored at specific path or debug it to check for problems with the binary or dependent .DLL files.
    The specified module could not be found."
    Let me know if you need to know which ones are which I noticed that my vista sp2 failed to install because of the same reason.
